SUBJECT: Baystate Health and Trinity Health Of New England Sign Definitive Agreement

Today, we are sharing an important update about Mercy Medical Center. Following a due diligence and collaborative planning process, we are pleased to share that Baystate Health and Trinity Health Of New England have signed a Definitive Agreement to transition Mercy Medical Center, its joint venture affiliates and medical group entities in Massachusetts to Baystate Health.

Upon closing, this transition will give Baystate Health governance and operational oversight of Mercy Medical Center while preserving its mission, community commitment, and legacy of high-quality care. This decision reflects a shared vision for the long-term sustainability of health care services throughout our community. Until the transaction receives all regulatory approvals, Mercy Medical Center and Baystate Health will continue to operate independently.

I recognize that many questions may arise about why we are investing in this partnership right now when we are facing our own transformation to become more financially resilient. Like many other hospitals across our state and region, Mercy is facing significant challenges and financial pressures. We also recognize the reality that the challenges to accessing health care in our region are profound and mounting. Today, access forces too many patients to leave the region to seek care, and we need to ensure that care is compassionate, high quality, affordable, and local.

Mercy and the Sisters of Providence have been a fixture in our community since 1874, and this is an investment in both the past and the future of health care and economic development in western Massachusetts. We have been and will continue to be a pillar of our community – rooted here, serving here, and helping generations thrive here. We will build stability, preserve essential services, and expand access where it is needed most. We will be disciplined stewards of our precious resources. While there is still a tremendous amount of important work to do, including regulatory approvals, before the transition is finalized, we are confident in the path ahead.

We remain committed to transparent communication and ongoing support for all patients, team members and providers as the process moves forward. We have developed an external microsite for our stakeholders to stay informed about the transaction and receive the latest updates: www.baystatehealth.org/mercy. The site will be updated as new information becomes available.

Thank you for trusting Baystate Health and Mercy Medical Center with your care.
